Terms of Service

1. Introduction

These Terms of Service (the "Terms") govern your use of the Svipp service (the "Service"), provided by TRY AS, company registration number 980 129 942, Øvre Slottsgate 8, 0157 Oslo, Norway ("TRY"). By creating an account and using the Service, you accept the Terms. If you do not accept the Terms, you may not use the Service.

The Service is a SaaS platform for self-service ad production and distribution. Users can create and publish advertising campaigns on selected ad platforms using templates and AI-generated text. The Service may also include automation, analytics, and payment services related to these activities.

The Service currently supports advertising via Meta (Facebook and Instagram), LinkedIn, and Adnuntius. The channels available may change over time without amendment of these Terms.

2. User account and rights

To use the Service, the User must create an account. The User is responsible for providing accurate information and for keeping login credentials confidential. TRY may require identification at registration or at a later time.

The Service may be used by individuals and organisations. When an organisation registers, multiple users may be associated with the same organisation. Each user has their own username and password, and actions taken by a user within the organisation's account are deemed to be taken by the organisation.

The User receives a non-exclusive, non-transferable right to use the Service in accordance with the Terms. TRY retains all intellectual property rights in the Service, including source code, design, trademarks, documentation, and templates developed by TRY.

3. User content and licence

The User retains ownership of all content the User uploads or generates via the Service ("User Content"). The User grants TRY a non-exclusive, royalty-free licence to use, store, process, copy and transmit User Content to the extent necessary to deliver the Service, including publishing ads on the chosen ad platforms.

The User warrants that the User holds the necessary rights to all User Content and that the content does not infringe third-party rights or violate applicable law or TRY's Acceptable Use Policy.

4. AI-generated content

The Service uses artificial intelligence to generate suggestions for ad copy. The User is responsible for reviewing and editing AI-generated text before publication. AI-generated content may contain inaccuracies, factual errors, or inappropriate phrasing. TRY does not guarantee that AI-generated content is accurate, complete, or fit for any particular purpose.

The User bears full responsibility for published content, regardless of whether it was written manually or AI-generated.

5. Pricing and payment

5.1 Pricing models

The pricing model for the Service depends on the customer relationship. The model that applies to the User is set when the customer relationship is established, and is set out either in the Service's checkout flow or in the individual customer agreement.

Model A — Per campaign with transparent service fee

The User pre-pays the full campaign budget before the campaign is launched. TRY retains a service fee from this amount. The remaining amount is used to purchase ad inventory on the chosen ad platform, less any platform fee charged by the relevant ad network (for example Adnuntius). The service fee and any platform fee are shown transparently in the checkout flow before payment.

If a campaign is stopped before the budget is exhausted, the service fee is calculated only on the actual ad spend. The unused budget is refunded to the User. Platform fees are likewise calculated only on actual ad spend.

Model B — Fees or subscription under individual agreement

The Service is invoiced under an individual agreement with the User's organisation, typically as a fixed monthly fee, a per-seat subscription, or another agreed structure. Ad spend is handled outside the Service via the User's own agreements with the ad platforms. TRY is not responsible for invoicing, refund, or other matters related to the ad spend itself under this model.

5.2 Payment method and payment processing

Payments under Model A are processed via Stripe. The User provides a payment method in the Service's checkout flow. Stripe stores the payment method securely. TRY receives only the information needed to match the transaction to the User's account.

Payments under Model B are processed in accordance with the individual customer agreement — typically by invoice or Stripe subscription.

5.3 Recurring campaigns

Functionality for recurring campaigns is planned but is not active in the current version of the Service. Once launched, the following will apply under Model A: the User can choose to run a campaign on an ongoing basis without an end date. TRY will charge the User's registered payment method monthly for the campaign's monthly budget. If a charge cannot be completed, the campaign will be paused automatically. After two consecutive failed charges, the campaign will be stopped permanently and the User will be notified by email.

The User can stop a recurring campaign at any time. Stopping takes effect immediately on the ad platform, normally within 24 hours. Any unused funds from the most recent billing period are refunded under section 5.4.

5.4 Campaign stop and refund

The User can stop a campaign at any time via the Service. The campaign is stopped immediately on the ad platform, and delivery normally ceases within 24 hours. Final settlement of the spend is completed within 72 hours of stopping.

Under Model A, the service fee is calculated only on the actual ad spend up to the moment of stopping. The unused pre-paid budget is refunded to the User's original payment method. Refunds are processed via Stripe and normally appear on the payment method within 5–10 business days.

5.5 Currency and VAT

All prices are stated in Norwegian kroner (NOK) exclusive of VAT unless otherwise indicated. VAT is added in accordance with applicable rates.

5.6 Price changes

TRY may change the prices for the Service. Changes that affect an existing subscription or recurring campaign will be notified to the User at least 30 days before they take effect.

6. Ad platforms and content rules

Ads are published on the ad platforms the User selects in the Service. Each ad platform has its own content rules and policies that the User must comply with, including Meta Advertising Standards, LinkedIn Ads Policies, and Adnuntius' own guidelines. In addition, TRY's Acceptable Use Policy applies and forms part of the Terms.

Ads are reviewed under each platform's own moderation process. TRY does not have a general duty to pre-moderate, but may use automated checks (including filters for clearly unlawful content) before publication. TRY may reject or remove ad content that breaches the Acceptable Use Policy or applicable law.

7. Personal data and data processing

TRY's processing of personal data is described in the Svipp Privacy Policy. For the processing of campaign data, audience data, and ad account administration on the instructions of the User, TRY acts as a processor. The terms of that processing are set out in the Svipp Data Processing Agreement, which is concluded automatically upon acceptance of the Terms.

8. Availability and changes to the Service

TRY endeavours to keep the Service available but does not guarantee that the Service will always be free from errors or interruptions. Planned maintenance will be notified in the Service where practicable.

TRY may modify, suspend, or discontinue functionality in the Service. Material changes that affect use will be notified at least 30 days before they take effect.

9. Limitation of liability

TRY's aggregate liability to the User is limited to the amount paid by the User for the Service in the 12 months preceding the event giving rise to the liability. The limitation does not apply to intent or gross negligence on TRY's part, or to liability for personal injury or other losses that may not be limited contractually under applicable law.

TRY is not liable for indirect losses, including loss of profit, loss of customers, reputational damage, or other consequential losses.

TRY is not liable for acts or omissions of third parties, including the ad platforms (Meta, LinkedIn, Adnuntius) or payment processors (Stripe). TRY is also not liable for ads being rejected, removed, or limited in reach as a result of ad platforms' own policies or algorithms.

10. Breach and termination

A material breach of the Terms entitles TRY to close or suspend the User's account with immediate effect. Covered breaches include breach of the Acceptable Use Policy, non-payment, and use of the Service in a way that harms TRY's or a third party's interests.

The User may terminate the account at any time. Termination does not remove liability for obligations that have already arisen, including payment of service fees or fees already incurred.

11. Changes to the Terms

TRY may change the Terms. Material changes will be notified at least 30 days before they take effect via email or in the Service. Continued use of the Service after the changes have taken effect constitutes acceptance.

12. Governing law and venue

The Terms are governed by Norwegian law. Any dispute will first be attempted resolved amicably. If amicable resolution is not reached, Oslo District Court is the venue. For consumers, mandatory consumer protection rules in the consumer's country of residence apply, and consumers may also contact the Norwegian Consumer Authority (Forbrukertilsynet) for assistance with disputes.
